You also agree that uTrade offers no guarantees nor does it set any expectations with respect to your algorithmic trading performance through our services.
There is a very high degree of risk in trading securities in financial or similar markets. Our services include products that are traded on margin and carry a risk of losses in excess of your deposited funds and your use of our services and any decision you make in reliance on the services, including any trading or investment decisions or strategies, are made at your own risk and you are solely liable and responsible for all the investment decisions taken by you. Trading creates additional risk and loss of investment. Before you decide to trade, carefully consider your investment objectives, level of experience, and risk tolerance.
Internet-based algorithmic trading carries risks including, without limitation
You acknowledge and understand that the technical indicators, conditions, and other inputs used to create an algorithm are determined by you. You also acknowledge and understand that the trigger conditions set for placing a trade on your behalf are set by you. You are solely responsible for your inputs and the conditions set. The quality of the analysis and optimization depends on your input. You must carefully review all input parameters in all ways necessary to ensure their accuracy and fidelity. While there are other factors governing analysis and optimization accuracy, the quality of the outputs depends on the accuracy of your inputs. It is entirely your responsibility to assess the appropriateness, suitability, and practicality of the solutions generated by our services. It is also your responsibility to ensure that the trade is executable and manageable, and appropriate for your needs.
You shall pay a non-refundable subscription fee (the 'Fee') for using our services. You acknowledge and agree that uTrade will not provide any refunds for the Fee under any circumstances.
The Fee is payable in advance for the specified subscription period, as agreed upon by uTrade and you. In the event of termination of the subscription before the end of the subscription period, you shall not be entitled to any refund or prorated refund of the Fee. uTrade reserves the right to modify the Fee or introduce new fees at its sole discretion, and such changes shall be effective upon notice to you. It is your responsibility to review and accept any changes to the Fee prior to continuing to use the Service. uTrade may, at its sole discretion, suspend or terminate the Service without any liability or obligation to provide a refund, if you violate any of the terms and conditions of the subscription.
By subscribing to the Service, you acknowledge and agree to the non-refundable nature of the Fee, and waive any and all claims for refunds or reimbursements against uTrade for any reason, including but not limited to dissatisfaction with the Service, changes in market conditions, or any other circumstances.
We do not provide trading tips nor are we an investment adviser or broker-dealer and do not in any manner purport to tell or suggest the value of any securities or which securities an investor should buy for themselves. Any observations or discussions of any instrument, commodity, security, algorithms, or strategy provided by uTrade or through the uTrade’s Services is not a recommendation to buy, sell or hold such instrument/commodity/security and should not become a basis to make any investment decision or purchase or sale decisions, nor should the same be taken as any advice regarding the appropriateness, risk or suitability of any investment strategy, trading algorithm, transaction, instrument, or nature of the investment.
Our services are solely restricted to automated trading application development, deployment, and maintenance through the Brokers’ Platform. uTrade is merely facilitating the placement of orders by you, by way of Brokerage Integrations and does not execute any trades on your behalf. You acknowledge and agree that any use of our services and any decisions made in reliance on our services, including any trading or investment decisions or strategies, are made at your own risk. You should consult with your own financial/professional advisor for any form of investment or other professional advice. No employee, agent, or representative of uTrade is authorized to provide any investment, financial, legal, tax, or other professional advice, and any such advice, if given, is in gross violation of our policies, is unauthorized, and should not be relied upon under any circumstances whatsoever.
All algorithms are based on back tested data but we do not provide any guarantee for their performance in the future. Backtesting results are hypothetical and simulated on historical data. Past performance from backtesting is NOT an indicator of the future performance of the algorithm or strategy. The performance results have certain inherent limitations. Unlike the results shown in an actual performance record, these results do not represent actual trading. These trades have not been actually executed and the results may have been under-or over-compensated for the impact. uTrade makes no representation that any algorithm will or is likely to achieve profits or losses similar to those backtested.
The algorithm running mechanism in the automated system is verified and acknowledged by the user prior to deployment and we will not accept any responsibility or liability for losses, if any, generated by the algorithm. Past performance of our offered strategy/model does not indicate the future performance of any current or future strategy/model offered by uTrade and actual returns may differ significantly from the backtested results due to various factors including but not limited to impact costs, expense charged, timing of entry/exit, market conditions, and specific portfolio construction characteristics, etc. There is no assurance or guarantee that the objectives of any strategy/model offered by uTrade will be achieved. Neither uTrade nor any of its associates, employees, agents, and/or representatives assure/give a guarantee for any return on the investment in strategies/models offered to the investor/client. The value of investments can go up/down depending on multiple factors and forces affecting securities markets. uTrade or its associates shall not accept any responsibility for any losses or shortfall in expected profits attributable to market conditions.
Trading in equities, derivatives, and financial instruments carries inherent risks. uTrade (uTrade Solutions / uTrade Algos) is not liable for any financial loss, missed trades, duplicate orders, delays, or market movements arising from the platform, algorithms, or technical issues.
All trades are executed through your linked broker. Settlement, margins, compliance, and regulatory matters are the broker’s responsibility. uTrade is not accountable for broker-side errors, rejections, outages, margin calls, or any actions taken by the broker or exchange.
Our services are being offered to you on "AS IS" and "AS AVAILABLE" basis with all its’ faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its behalf and on behalf of its Affiliates and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to its services, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may otherwise arise in relation to actual or proposed use of our services. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that uTrade’s services will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards or be error-free or that any errors or defects can or will be corrected.
The use of our services is subject to your compliance with applicable laws and regulations. You are solely responsible for complying with all applicable laws and regulations related to your use of our services.
